Terms of Service

The terms governing organizational access to and use of the BelloSend service operated by BelloCloud LLC.

1. Agreement and authority

These Terms are between BelloCloud LLC (“BelloCloud”) and the person or organization using BelloSend. If you use BelloSend for a business, you confirm that you are authorized to bind that business. You must be at least 18 years old and legally able to enter this agreement.

An order form, subscription document or separately signed agreement may add to or replace parts of these Terms. If there is a conflict, the signed document controls.

2. Accounts and organizations

  • Provide accurate information and keep account credentials secure.
  • Use one correctly selected organization for each business and grant users only appropriate roles.
  • You are responsible for activity by your users, integrations, API keys and connected Meta assets.
  • Notify BelloCloud promptly of unauthorized access or a security incident affecting the service.

3. The service

BelloSend provides tools for connecting WhatsApp numbers and Instagram professional accounts, team conversations, contacts, templates, campaigns, automation, flows, supported calling features, analytics and integrations. Features depend on configuration, permissions, plan and third-party availability and may evolve.

BelloCloud may maintain, change or discontinue features reasonably. We do not promise a feature, message volume, delivery rate, revenue result or uninterrupted availability unless a signed agreement says so.

4. Meta, WhatsApp, Instagram and third-party services

BelloSend connects to Meta’s WhatsApp Business Platform and to Instagram messaging at the customer’s direction. The customer must own or be authorized to use its numbers, Instagram professional accounts and other Meta assets, comply with Meta, WhatsApp and Instagram terms, maintain valid credentials and pay any third-party charges.

Instagram conversations follow Meta’s rules rather than ours: a business may reply within the window Meta allows after a customer writes, cannot start a conversation with someone who has not written first, and reaches only accounts that permit messages from businesses. Access depends on the Instagram account remaining a professional account with messaging enabled.

Meta controls business verification, display-name approval, template approval, number and account eligibility, messaging limits, delivery and Coexistence availability. BelloCloud is not responsible for Meta decisions or third-party outages.

5. Customer data and lawful messaging

The customer retains its rights in content and customer data and grants BelloCloud the limited rights necessary to host, transmit, back up and otherwise process it to provide and secure BelloSend.

The customer is responsible for lawful collection, notices, consent, opt-in evidence, template content, campaign recipients, opt-outs, retention and responses to data-subject requests. Purchased or scraped contact lists may not be used.

6. Fees, cancellation and suspension

Fees, taxes, billing periods and cancellation are those shown on the pricing page and confirmed before you pay, or in a signed order form. Refunds, including the 14-day money-back guarantee on your first payment, are described in our Refund Policy, which forms part of these Terms. Mandatory law always applies.

BelloCloud may suspend access for non-payment, material breach, security risk, unlawful messaging or conduct likely to harm the service, Meta assets, recipients or other customers. Where reasonable, we will provide notice and an opportunity to cure.

7. Intellectual property

The BelloSend and BelloCloud names, branding, website and custom service materials are owned by or licensed to BelloCloud. The platform includes open-source and third-party components that remain governed by their respective licenses.

Subject to these Terms, BelloCloud grants the customer a limited, non-exclusive, non-transferable right to use the hosted service during the subscription. No ownership transfers to the customer.

8. Confidentiality and security

Each party must protect the other party’s non-public business, technical and security information and use it only for the service relationship. Customers must not disclose tokens, app secrets, passwords or private API keys.

Security is a shared responsibility. The customer must manage users and Meta access, while BelloCloud maintains reasonable controls for the hosted service.

9. Disclaimers and liability

To the extent permitted by law, the service is provided “as is” and “as available”. BelloCloud disclaims implied warranties and is not liable for indirect, incidental, special or consequential damages, lost profit, lost goodwill or lost data.

To the extent permitted by law, BelloCloud’s aggregate liability arising from BelloSend is limited to the fees paid for BelloSend during the twelve months before the event giving rise to the claim. These limits do not apply where they are prohibited by law.

10. Termination, law and contact

When service ends, access may be disabled and data may be deleted after the applicable export or retention period. The customer should export required data before termination. Provisions intended to survive termination will remain effective.

Unless a signed agreement identifies another law or forum, these Terms are governed by the laws of the State of New Mexico, United States, where BelloCloud LLC is registered. Questions may be sent to contact@bellosend.net.
